Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vaultix-ID, including the dashboard at vaultix.smritix-ai.com, REST APIs, SDKs, and any related services (collectively, "Services") provided by Smritix AI LLP ("Company", "we", or "us").

By creating an account or using the Services, you ("Operator" or "you") agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Account Registration

To use Vaultix-ID, you must register for an account by authenticating via a supported OAuth provider. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use at security@smritix-ai.com.

You must be at least 18 years of age to create an operator account. You must provide accurate, complete, and current account information.

2. Description of Services

Vaultix-ID provides authentication-as-a-service infrastructure including:

• Email/password, magic link, TOTP MFA, and social OAuth authentication
• Organisation and team management with role-based access control
• Session management using RS256-signed JSON Web Tokens
• Webhook delivery for authentication events
• React, Next.js, Node.js, and Python SDKs
• A visual workflow engine for configuring authentication flows
• Real-time analytics and audit logs

The Services are provided on a self-hosted basis on your own Vercel and Supabase infrastructure. We provide the software; you provide and manage the underlying infrastructure.

3. Licence Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes or personal projects.

Our SDKs are subject to their respective open-source licences as published on our GitHub repository. The dashboard application source code is proprietary unless otherwise indicated.

4. Acceptable Use

4.1 Permitted Uses

• Integrating authentication into your legitimate applications and services
• Building multi-tenant SaaS products for your customers
• Using the APIs and SDKs as documented

4.2 Prohibited Uses

You must not:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to our systems, other accounts, or networks
• Reverse engineer, decompile, or disassemble any proprietary component of the Services
• Use the Services to collect, store, or process data in violation of applicable privacy laws
• Transmit malicious code, viruses, or engage in denial-of-service attacks
• Resell, sublicense, or provide access to the Services as a competing authentication service without our written consent
• Use the Services to authenticate users for illegal, harmful, or abusive purposes
• Exceed rate limits in ways that degrade service for other users

5. Subscription Plans & Payment

5.1 Free Tier (Hobby)

A free tier is available with the features described on our pricing page. We reserve the right to modify or discontinue the free tier with 30 days' notice.

5.2 Paid Plans

Paid plans are billed monthly or annually in advance. All fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.

5.3 Refunds

Payments are non-refundable except as required by applicable law or at our sole discretion. If you cancel a paid plan, you retain access until the end of the current billing period.

5.4 Price Changes

We may change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.

6. Data Ownership & Responsibility

You retain all rights to the data you and your end-users submit to Vaultix-ID ("Your Data"). You grant us a limited licence to process Your Data solely to provide the Services.

You are solely responsible for: (a) obtaining all necessary consents from your end-users for the collection and processing of their data; (b) ensuring your use of the Services complies with applicable laws, including data protection laws; and (c) your application's security and the security of credentials you manage.

7. Intellectual Property

The Vaultix-ID name, logo, dashboard application, and all associated materials are the exclusive property of Smritix AI LLP. Nothing in these Terms transfers any intellectual property rights to you.

You grant us no rights to your applications, data, or branding except as necessary to provide the Services.

8. Service Availability & SLAs

We target the following uptime SLAs (measured monthly, excluding scheduled maintenance):

• Hobby & Pro: Best-effort. No guaranteed SLA.
• Business: 99.9% uptime SLA. Service credits for breaches as described in your plan details.
• Enterprise: 99.99% uptime SLA. Negotiated service credits per contract.

Since Vaultix-ID runs on your own Vercel and Supabase infrastructure, uptime is also dependent on those platforms' availability.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMRITIX AI LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) INR 10,000.

11. Indemnification

You agree to indemnify and hold harmless Smritix AI LLP, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your end-users' use of your applications.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you violate these Terms, pose a security risk, or if required by law. Upon termination, your licence to use the Services ceases and you must cease using all SDKs and APIs. We will retain your data for 90 days after termination, after which it will be permanently deleted.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India. For informal resolution, contact us at legal@smritix-ai.com first.

14. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or in-dashboard notice at least 14 days in advance. Continued use after the effective date constitutes acceptance.
